Your contract risk policy, encoded as rules

A playbook is your organisation's contract risk policy turned into a set of configurable rules. Each rule defines what you consider acceptable, reviewable, or escalatable for a specific clause type.

When Vern triages a contract, it checks every clause against your playbook and tells you exactly where the risk sits — with traffic-light ratings that anyone on your team can understand.

Risk Position
Liability cap must be proportionate to contract value
Contracts should include a clear limitation of liability clause. Uncapped or disproportionate liability is a significant commercial risk.
Acceptable Range
Cap between 1x and 3x annual contract value
Liability proportionate to the contract value. Higher caps acceptable for low-risk engagements where exposure is limited.
Classification Criteria
Acceptable
Cap between 1x–3x annual contract value with standard carve-outs
Negotiate
Cap below 1x annual value, or uncapped for specific categories only
Escalate
No cap / unlimited liability / cap below 50% of annual value
Escalation Triggers
Contract contains no limitation of liability clause
Liability cap exceeds 3x annual contract value
Unlimited liability without mutual application
Carve-outs that effectively remove the cap
Features

Everything you need to define your risk appetite

Configurable rules

Toggle rules on and off. Set thresholds per clause type. Every rule maps to your organisation's actual risk positions.

Traffic-light classification

Every clause gets a green, amber, or red rating based on your criteria. Instantly clear to anyone on your team, no legal training needed.

Industry templates

Start from a pre-built template for your sector. Professional services, SaaS, procurement, recruitment, and more. Fully customisable.

Custom thresholds

Define the exact boundaries for your risk appetite. What's a 30-day payment term to one business is a red flag to another. Your thresholds, not ours.

Escalation triggers

Set automatic escalation when critical thresholds are breached. Unlimited liability? Auto-renewal without notice? Flag it instantly.

Playbook versioning

Iterate on your playbooks as your risk appetite evolves. Track changes, revert if needed. Your playbook grows with your business.
